Version 1.3. Last updated: 1 October 2026.
1. About these terms
1.1 These terms govern how a Business Client and its people use the mentorhero platform and take part in the mentorhero program. They apply to every Business Client that has signed a mentorhero Partnership Agreement.
1.2 These terms are incorporated into the Partnership Agreement. Where the Partnership Agreement and these terms say different things, the Partnership Agreement wins.
1.3 Individual mentors and mentees are covered by separate terms. Mentors also accept the Mentor Terms, and everyone using the platform is bound by the Community Standards.
1.4 We may update these terms from time to time. No update will materially reduce the core functionality of the Service during a Business Client's current term. We will publish the updated version here and note the date of change. Continuing to use the platform after that date means the updated terms apply.
1.5 In these terms, "we", "us" and "our" mean mentorhero. "You" and "your" mean the Business Client. "The platform" means the mentorhero web and mobile applications. "The Service" means the platform together with the mentoring program described in section 3.
How this fits with your Partnership Agreement
Your Partnership Agreement is the short document you signed. These terms expand it, section by section, so the two documents read as one.
Fees, term, notice periods and liability live in the Partnership Agreement and are not repeated here. Where the two documents differ, the Partnership Agreement wins.
2. Who takes part
Business Client. The company that signs the Partnership Agreement and pays the Subscription Fee.
Mentor. An individual with 18 months or more of work experience who signs up to deliver mentoring sessions. Mentors may be your employees, contractors, freelancers or ambassadors, or people from outside your business.
Mentee. An individual who signs up to receive career advice and support. Mentees come from a range of backgrounds, including students, people out of work, early career professionals and people changing direction.
Executive sponsor. The senior leader named in your Partnership Agreement who backs the program inside your business.
Ambassador. Up to three people you assign to champion the program internally and represent it externally.
3. What the program covers
3.1 The program has four solutions. Which of them apply to you is set out in section 1 of your Partnership Agreement, and only the solutions marked there as included form part of your subscription.
Give. Your employees sign up as mentors and deliver up to 12 mentoring sessions each per year to mentees seeking career advice and support.
Grow. Your people develop their own leadership, coaching and communication skills through mentoring. Activity and development are tracked and reported back to you.
Redirect. You share a mentorhero sign-up link with candidates you have not progressed through your hiring process. Anyone who chooses to sign up does so directly with us. You receive a monthly report on how many people signed up and engaged.
Missions. Two days a year, chosen jointly, built around moments such as International Women's Day or Social Mobility Day, where your team mentors at scale.
3.2 We provide the platform and the program structure. We do not supervise or take part in individual mentoring sessions.
3.3 The Service is professional development and career mentoring. It is not therapy, counselling, psychiatric care, medical advice, legal advice, regulated financial advice, or formal HR or employment advice. We do not guarantee any employment, wellbeing, retention, promotion or performance outcome.
4. Accounts and access
4.1 Your company profile is created during onboarding. Mentors sign up under that profile and are listed against your business, not against any other company.
4.2 You are responsible for the accuracy of the information you and your people provide, and for keeping it current.
4.3 Account credentials are personal. They must not be shared. You must tell us promptly if you believe an account has been accessed without authorisation.
4.4 If the platform or its domains are blocked by your firewall, network policy or IT systems, you are responsible for arranging the allowlisting needed for your people to use it. Delays caused by your internal IT are not our responsibility and do not pause or extend your term.
4.5 Access is granted to you for your own participation in the program. You may not resell it, share it with another organisation, or extend it to a group company, affiliate or client without our written consent.
4.6 We may set reasonable limits on account numbers, booking volume and platform usage to keep the Service working for everyone.
5. Onboarding and activation
5.1 Onboarding begins once the first payment has been processed. The Onboarding Fee set out in your Partnership Agreement covers a strategy session, the build and configuration of your company profile, an internal mentor recruitment campaign with comms assets, live training and onboarding for your first mentor cohort, reporting set up to your metrics, the launch announcement, and a named mentorhero lead for the first 90 days.
5.2 We will agree an onboarding timeline with you, normally within 30 days of your start date.
5.3 You will name a primary contact for onboarding, alongside the executive sponsor named in your Partnership Agreement.
5.4 A mentor's profile is activated once it is complete and approved by us.
5.5 If onboarding is delayed because information is outstanding or because sessions cannot be scheduled on your side, activation may be delayed. Delays of this kind do not pause billing or extend your term.
6. Mentors
6.1 To sign up as a mentor, an individual needs 18 months or more of work experience. That experience can be gained with you or elsewhere, and in any country.
6.2 For mentors who are your employees, contractors or representatives, you are responsible for making sure they are suitable and authorised to take part, for their conduct, and for any internal disciplinary matters. Mentors remain employed, supervised and managed by you at all times.
6.3 Mentors act for you and for themselves. They are not employees or agents of mentorhero and must not present themselves as such.
6.4 Mentors accept the Mentor Terms before their profile is activated.
6.5 Mentors give general career advice and support. They must not give mental health, medical, legal or regulated financial advice unless they hold the relevant professional qualification and are acting within it.
6.6 We may suspend, restrict or remove any mentor at any time where there is a conduct or safeguarding concern, a breach of these terms or the Mentor Terms, a risk to the safety of a mentee, or a reputational risk to the program. Where it is reasonable to do so we will tell you, though we are not obliged to share the full detail of our decision.
6.7 Repeated failure to attend booked sessions without reasonable notice may result in a warning, suspension or removal. Internal follow-up with that individual is your responsibility.
6.8 Mentor approval is at our discretion. We are under no obligation to activate a profile, and we may decline one without giving a reason. A declined or removed mentor does not reduce your Subscription Fee or entitle you to any refund or credit.
6.9 Mentors sign up to mentorhero as individuals. We make no commitment to you about how many of your people sign up, stay active, or complete their sessions, and shortfalls are not a breach by us.
6.10 We work with many organisations. Nothing here is exclusive, and we may work with your competitors, feature them alongside you, and recruit mentors from anywhere. You gain no rights over our mentor network.
7. Mentees and safeguarding
7.1 Mentees sign up voluntarily to seek career advice and support.
7.2 Where a mentee is under 18, or is classed as a vulnerable adult, they are entitled to bring a parent, guardian or carer to the session.
7.3 Where such a mentee attends without a parent, guardian or carer, the mentor must hold a valid enhanced DBS check before the session goes ahead. For your own mentors, obtaining and checking that certificate is your responsibility, and you must confirm to us that it is in place.
7.4 The platform will not match a mentee in either category to a mentor who has neither a recorded enhanced DBS check nor a confirmed accompanying adult.
7.5 Everyone taking part must follow our Safeguarding Policy. Any safeguarding concern, welfare issue or inappropriate conduct must be reported to our designated safeguarding lead immediately through the channels set out in that policy.
7.6 We may suspend a mentor or restrict platform access, without notice, while a safeguarding concern is reviewed. We may cooperate with the police, regulators or safeguarding authorities where necessary.
7.7 We do not guarantee that every safeguarding concern is preventable. We commit to acting promptly, reasonably and proportionately whenever one is raised.
7.8 Both of us maintain appropriate insurance to support our safeguarding responsibilities.
7.8A As a minimum, each of us holds public liability cover of at least £5 million, professional indemnity cover of at least £1 million, and employer's liability cover as required by law. Either of us may ask the other for evidence once a year.
7.9 Where you confirm that one of your mentors holds a valid enhanced DBS check, you warrant that the confirmation is accurate and current, and that you have seen the certificate. We rely on that confirmation and are not required to verify it.
7.10 You will tell us immediately if a mentor's DBS status changes, if a mentor becomes subject to a safeguarding investigation, or if a mentor leaves your business.
8. Mentoring sessions
8.1 All mentoring is micro-mentoring, delivered virtually through the platform. Sessions are short, focused conversations rather than long-term placements.
8.2 There is no contractual cap on how many sessions a mentor may deliver. A mentor sets their own commitment in the platform, and that commitment is what governs how often they are offered a booking.
8.3 Sessions are counted across your business as a whole for reporting.
8.4 A mentor's availability carries no refund or credit value, whether it is used or not.
8.5 All contact between a mentor and a mentee must happen through the platform. Contact outside the platform is a material breach by that mentor, and we may suspend or permanently remove their access to the Service without notice. It is not treated as a breach by you, provided you act on it with us when we raise it.
8.6 We record every mentoring session, for safeguarding, quality assurance and training purposes. Recording is part of how the Service works rather than something a mentor or mentee switches on. Participants are told so in the terms they accept, and are responsible for telling anyone else who may be seen or heard during a session. Recordings can be requested where they relate to a safeguarding concern, an allegation of misconduct or another legitimate review. How long recordings are kept is set out in section 10.2 of the Data Processing Terms.
8.7 We are not responsible for mentor or mentee availability, cancellations or rescheduling, and we do not guarantee that any particular match will be a good one.
8.8 We may change session length, format, booking rules and matching logic as the program develops, provided the core of the Service is not materially reduced.
8.9 We do not commit to any number of mentees, any level of demand, or any particular pace of bookings. Low mentee demand in a given period is not a breach and does not entitle you to a refund, credit or extension.
9. Redirect
9.1 Redirect works through a sign-up link that we provide to you.
9.2 You share that link with candidates you have not progressed. You do not send us candidate data. Anyone who chooses to sign up does so directly with us and becomes our user, covered by our Privacy Policy.
9.3 You are responsible for how you present the link in your own communications, including any wording in rejection emails, and for making sure that wording is accurate and does not imply an ongoing hiring relationship.
9.4 You receive a monthly Redirect report covering how many people signed up through your link and how they engaged with the program. The report is aggregated. It does not identify individual candidates.
9.5 We do not guarantee any sign-up rate, engagement rate or employer brand outcome from Redirect.
9.6 The wording you use around the Redirect link is yours. You are responsible for making sure it is accurate, lawful and consistent with your own candidate communications, and for any claim brought by a candidate about that wording.
9.7 We may withdraw or change a Redirect link where it is being misused, where the volume is inconsistent with your hiring activity, or where the presentation misrepresents the program.
10. Missions
10.1 Two Missions per year are included. Dates are chosen jointly and are usually built around a calendar moment relevant to your business.
10.2 Missions must be booked at least four weeks in advance so both of us can plan properly.
10.3 Additional Missions beyond the two included are available at the rates in our Pricing Schedule, charged as an add-on under section 3 of your Partnership Agreement and must be agreed in writing before we commit to a date.
10.4 You will provide the internal promotion, participants and any space or facilities needed on the day.
10.5 If you cancel or move a Mission with less than four weeks' notice, it counts against your annual allocation unless we agree otherwise in writing.
11. Reporting
11.1 You receive a weekly impact report to your CEO covering mentoring activity, engagement and outcomes, a monthly Redirect report, and an annual impact summary suitable for ESG, social value and internal reporting.
11.2 You also have access to reporting dashboards and impact summaries in the platform.
11.3 We take reasonable care over the accuracy of reported data, but we do not warrant that it is error free or suitable for any specific decision, filing or regulatory purpose.
11.4 We may anonymise and aggregate program data for reporting, research and marketing. Once anonymised it is no longer personal data and is ours to use.
11.5 Reports are provided for your internal use. They are not audited, assured or verified. If you use them in a regulatory filing, a tender, an ESG disclosure or a public claim, you are responsible for checking them first, and you must not describe them as independently assured.
11.6 Reports depend on data recorded on the platform. Where mentors or mentees do not record activity, the reports will not reflect it, and that is not a failure on our part.
12. Sponsor and ambassadors
12.1 An executive sponsor must be assigned to your partnership at all times. If your sponsor leaves the business or moves on from the role, you will appoint a replacement at executive level within 14 days and introduce them to us. Where the role sits empty, any resulting delay to the program is not our responsibility.
12.2 You may assign up to three ambassadors. They champion the program inside your business and may represent it externally.
12.3 Ambassadors follow our brand guidelines when they represent the program externally. Either of us may ask, in writing, for an ambassador to step back from the role.
13. Acceptable use
13.1 Clause 5.6 of your Partnership Agreement lets you hire any mentee you meet through the Service, with no fee. That is different from using the platform as a sourcing channel. The platform must not be used to advertise or recruit for specific vacancies, to sell products or services to mentees, to promote a political or religious position, or for any unlawful, discriminatory, harassing or harmful purpose.
13.2 You must not copy, modify, reverse engineer or create derivative works from the platform, and you must not attempt to extract its data or source code.
13.3 You must not use the platform, or the relationships formed through it, to build or run a competing mentoring program. Clause 5.11 of your Partnership Agreement applies.
13.4 We may suspend or remove any account that breaches this section.
13.5 Where we reasonably suspect a breach of this section, we may investigate, ask you for information, and suspend access while we do. You will cooperate with a reasonable request.
13.6 Our commercial terms, pricing and the content of these terms are confidential. You will not share them with a competitor of ours.
13.7 During the partnership and for 12 months afterwards, neither of us will solicit or hire the other's employees or contractors who have worked on the partnership, unless we agree otherwise in writing. This does not catch a response to a public job advertisement.
13.7A You are responsible for everything done through your accounts and by anyone taking part on your side, whether or not you authorised it, and whether or not you knew about it. Saying that an individual acted on their own does not move that responsibility to us.
13.8 You will not use bots, scrapers, crawlers or any other automated means to access the platform or to collect its content, and you will not use mentor profiles, session content, reports or any other platform data to train, fine tune or evaluate a machine learning model.
14. Availability and support
14.1 We provide technical support during UK business hours.
14.2 We aim to keep the platform available and performing well, but we do not offer a guaranteed uptime level and no service credits apply.
14.3 Scheduled maintenance may affect availability. We give reasonable notice where practical.
14.4 We are not responsible for problems caused by your network, hardware, browser or internal IT configuration, or by third party services outside our control.
14.5 The platform relies on third party services, including payment processing, video conferencing, hosting and email. We are not responsible for their failure, and their own terms apply to their part of the Service.
14.6 Features labelled as trial, pilot or beta are provided as they are, may change or be withdrawn, and carry no commitment of any kind.
14.7 We may use subcontractors and suppliers to deliver parts of the Service. We remain responsible to you for the work they do on our behalf.
15. Intellectual property and content
15.1 We own the platform, the mentorhero brand, our marketing materials, and the photography, video and written content we produce.
15.2 You have a limited, non-exclusive, non-transferable licence to use the platform and our brand assets for the purpose of taking part in the program during your term.
15.3 You grant us permission to use your company name, logo and approved program content in our marketing, including our website, social channels, newsletters, case studies and press activity.
15.4 You may ask, reasonably and in writing, to review content carrying your logo before it is published, provided that does not cause undue delay.
15.5 Either of us may ask in writing for specific content to be taken down, and the other will act on that request within a reasonable time.
15.6 Press, award, event and campaign activity is offered on a reasonable endeavours basis. No specific publicity, placement or brand exposure is guaranteed.
15.7 If you or your people give us feedback, ideas or suggestions about the platform, we may use them freely and without payment. You gain no rights in anything we build as a result.
15.8 Anything we create for you during the partnership, including reports, content, assets and configuration, remains ours unless we agree otherwise in writing.
16. Data protection
16.1 Both of us comply with UK data protection law.
16.2 We act as an independent controller for platform data, including data about mentors, mentees and anyone who signs up through a Redirect link. Individual accounts are held by the individual and are not yours to control, transfer or require us to delete. Our Data Processing Terms and Privacy Policy set out the detail.
16.3 You are responsible for the personal data you hold about your own employees and about candidates in your hiring process, including the lawful basis for sharing a Redirect link with them.
16.4 Each of us tells the other promptly about any data breach or security incident affecting the platform.
16.5 You will not upload, or ask us to process, special category data, criminal offence data, or the personal data of anyone under 13, other than through the safeguarding process in section 7.
16.6 Each of us complies with the Bribery Act 2010, the Modern Slavery Act 2015, and applicable sanctions and export control laws, and neither of us will do anything that puts the other in breach of them.
16.7 Where you ask us to delete data on exit, that obligation covers the personal data you provided to us or asked us to process. It does not extend to individual participant accounts, which belong to the individual and which we hold as an independent controller, nor to records we are required to keep for legal, safeguarding, insurance or regulatory reasons.
17. Suspension and termination
17.1 We may suspend or end access to the platform where fees are overdue, where you or your people breach these terms or the law, or where continued participation creates a safeguarding, legal or reputational risk.
17.2 The notice periods, term, fees and termination consequences are set out in section 3 and section 4 of your Partnership Agreement, including the 60 days' notice to end a rolling term.
17.3 On termination, your access to the platform ends, along with all partner features, reporting and branding. Individual mentor and mentee accounts are held by the individual rather than by you, and continue to exist. Those individuals lose access to your program, your reporting and your branded content, and may carry on using the platform in a personal capacity. We may retain anonymised and aggregated data for reporting, research and compliance.
17.4 We may end the partnership immediately, without notice, if you become insolvent, stop trading, enter administration or liquidation, or have a receiver appointed over your assets.
17.5 Where we suspend the Service under these terms or your Partnership Agreement, fees continue to run for the period of suspension and no refund or credit is due. Access is restored once the issue is resolved.
17.6 On exit we will give you a final impact report and your standard data export. We are not obliged to migrate data to another platform or to a different format. Anything beyond the standard export is chargeable at our then current rates and must be requested within 30 days of the partnership ending.
17.7 If a competitor of ours acquires control of your business, we may end the partnership, or ask to renegotiate it, on 30 days' written notice.
18. What counts as a material breach
18.1 Your Partnership Agreement allows either of us to act on a material breach. This section sets out what that means, so neither of us is guessing.
18.2 The following are treated as material breaches by you:
(a) payment outstanding for more than 14 days after the due date; (b) any failure to follow the Safeguarding Policy, or an inaccurate or out of date DBS confirmation given under clause 7.9; (d) a breach of data protection law, or the misuse of confidential information; (e) misuse of our brand, content or intellectual property; (f) a breach of the non-circumvention provisions in clause 5.11 of your Partnership Agreement; (g) using the platform for a purpose banned by section 13; and (h) conduct by you or anyone on your side that creates a serious legal, safeguarding or reputational risk to the program.
18.3 Repeated minor breaches count. Where we have given you two written warnings about the same issue in any 12 month period, a further instance is treated as a material breach.
18.4 A breach by us is material only where it substantially deprives you of the core Service, being platform access and the ability to run mentoring sessions, for more than 30 consecutive days, and it remains unremedied 30 days after you have given us written notice describing the problem and what would put it right.
18.5 The following do not amount to a material breach by us, because they are addressed elsewhere in these terms: interruptions or downtime under section 14, the number of mentors who sign up or stay active under clause 6.9, mentee demand or booking levels under clause 8.9, the accuracy or completeness of reports under section 11, and press, award or campaign outcomes under clause 15.6.
18.6 A reasonable workaround that restores the core Service counts as a remedy, even if it is not the original method of delivery.
18.7 Where a breach is not material, the remedy is to fix it within a reasonable time. It does not give either of us a right to terminate, withhold payment, or suspend our own obligations.
18.8 Notice of a material breach must be in writing, must identify the clause breached, and must say what would remedy it. A notice that does not do this does not start the remedy period.
18A. Operating globally
18A.1 mentorhero is a global platform. Mentors and mentees take part from many countries and across time zones, and a mentee may be matched with a mentor anywhere we operate unless you ask us to limit it.
18A.2 Background checks outside the UK. Where clause 7.3 requires an enhanced DBS check and the mentor is based outside the UK, the equivalent check in their country applies instead. Examples include a Working with Children Check or National Police Check in Australia, Garda vetting in Ireland, a state and FBI criminal background check in the United States, an RCMP vulnerable sector check in Canada, and the equivalent police certificate elsewhere. It is your responsibility to identify the correct check for the country your mentor is in, obtain it, see it, and confirm it to us. Where no equivalent exists, that mentor is not matched to a mentee who is a minor or a vulnerable adult.
18A.3 Local age of majority. Where a mentee is in a country whose age of majority is higher than 18, that higher age applies for the purposes of section 7 and this section.
18A.4 Local mandatory reporting. Some countries place a legal duty on individuals to report suspected abuse to a named authority. Where a mentor is subject to such a duty, they follow it and tell us at the same time. Reporting to us never replaces reporting to a statutory authority.
18A.5 Local law compliance. Each of us complies with the law that applies to us where we operate. You are responsible for making sure that your participation, your mentors' participation and your use of Redirect are lawful in every country where your people take part, including local employment, equality, privacy and anti-discrimination law.
18A.6 Support hours and time zones. Support is provided during UK business hours. Sessions can be booked across time zones, but availability depends on the individuals involved and we do not guarantee cover in any particular time zone.
18A.7 Currency and tax. Fees are quoted and payable in pounds sterling unless your Partnership Agreement says otherwise. Fees are exclusive of VAT and of any sales tax, GST, or similar tax anywhere in the world. Where a deduction or withholding is required by law in your country, you pay whatever additional amount is needed so that we receive the full sum. Where a reverse charge applies, you account for it.
18A.8 Sanctions and restricted countries. We do not provide the Service to anyone in a country subject to comprehensive UK, EU, US or UN sanctions, or to any sanctioned person or entity. You confirm that neither you nor anyone you put forward is subject to those measures, and you tell us immediately if that changes.
18A.9 Language. These terms, your Partnership Agreement and all our policies are written in English. Any translation is provided for convenience only, and the English version governs.
18A.10 Governing law stays the same. Wherever a mentor or mentee is based, these terms and your Partnership Agreement are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Where local law gives a participant a right that cannot be excluded by contract, that right applies to them, and nothing else in these terms is affected.
18B. Records, evidence and cooperation
18B.1 Our records of platform activity, including booking data, session logs, message content, recordings and reports, are the definitive record of what happened on the platform. Where your account of events differs from our records, our records are taken as correct unless you can show they are wrong.
18B.2 Where a claim, investigation or dispute arises, each of us preserves everything relevant to it, and neither of us deletes or alters anything that might be evidence, including after the partnership ends.
18B.3 You will give us the information and cooperation we reasonably need to respond to a claim, a regulator, a safeguarding authority or an insurer, promptly and at your own cost. That obligation continues for six years after the partnership ends.
19. Complaints
19.1 If something is not working, raise it with your mentorhero lead first. Most things are resolved that way.
19.2 If it is not resolved, email leon@mentorhero.com. We will acknowledge within 5 working days and give you a substantive response within 20 working days.
19.3 Safeguarding concerns are not handled through this route. They go to our designated safeguarding lead immediately, as set out in the Safeguarding Policy.
20. Your indemnity
22.1 You will indemnify us, our directors, employees and group companies against all claims, damages, liabilities, fines and reasonable costs, including legal fees, arising from:
(a) any breach of these terms or of your Partnership Agreement by you, your mentors, your sponsor or your ambassadors; (b) the conduct, negligence, misconduct or unlawful act of anyone taking part on your side; (c) any claim brought by a mentee, a candidate or a third party arising from a session delivered by one of your mentors, or from your own Redirect wording; (d) an inaccurate DBS confirmation given under clause 7.9; (e) your failure to comply with data protection law, or misuse of confidential information; and (f) any unauthorised use of the platform by you or anyone acting for you; and (g) any claim that a mentor, ambassador or other individual taking part on your side is or was our employee, worker or agent, including any claim for pay, benefits, tax, national insurance or employment rights.
22.2 We will tell you promptly about any claim covered by this section, and we will not settle it without talking to you first.
21. Warranties and exclusions
22.1 The platform and the Service are provided as they are and as available. Beyond what these terms and your Partnership Agreement say expressly, all warranties, conditions and terms implied by statute or common law are excluded to the fullest extent the law allows.
22.2 We do not warrant that the platform will be free of errors or interruptions, that it will work with every browser or device, that any match will succeed, or that any outcome will be achieved.
22.3 We are not responsible for the accuracy, completeness or truthfulness of anything a mentor or mentee tells another, or for any decision someone takes based on it.
22.4 No action arising out of these terms may be brought by either of us more than 12 months after the cause of action arose.
22.5 Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
22. General
22.1 These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
22.2 Clauses 7.1, 7.2 and 7.7 of your Partnership Agreement, covering the liability cap, excluded losses and force majeure, apply to these terms as well.
22.3 If any part of these terms is found to be unenforceable, the rest continues to apply.
22.4 If either of us does not enforce a right straight away, that is not a waiver of it.
22.5 Nothing here creates a partnership, joint venture, agency or employment relationship between us, or between us and anyone taking part on your side.
22.6 Notices under these terms are given by email to the contacts named in your Partnership Agreement. An email sent before 5pm on a working day counts as received that day.
22.7 Sections 7, 11.4, 13.6, 13.7, 13.8, 15, 16, 18, 18A.7, 20, 21, 22.9 and 22.11 survive the end of your partnership, along with anything else that by its nature should.
22.8 Nobody other than you and us can enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
22.9 These terms and your Partnership Agreement are the whole of what we have agreed. You confirm you are not relying on anything said or written before signing, including proposals, decks, demonstrations, emails and conversations, other than what those two documents say. Nothing here limits liability for fraudulent misrepresentation.
22.10 Before either of us starts court proceedings, a senior person from each side will meet, in person or by video, within 30 days of a written request to try to resolve the matter. This does not stop either of us seeking an injunction or another urgent remedy.
22.11 Neither of us will make public statements criticising the other, or comment publicly on a dispute between us, during the partnership or afterwards. Nothing here prevents either of us from telling the truth to a regulator, a court, or a safeguarding authority.
